Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the MapIQ website, applications, software, and services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.

If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

1) Definitions

  • “MapIQ,” “we,” “us,” “our”: The MapIQ service provider, Signitiva LLC.
  • “Customer”: The business entity that subscribes to and administers the Service.
  • “Authorized Users”: Individuals permitted to use the Service under the Customer account (e.g., Admins, Agents, dispatchers, drivers, collectors, customer-portal users).
  • “Customer Data”: Data you or your Authorized Users upload, submit, or generate through the Service (e.g., customers, routes, orders, deliveries, collections, locations, notes, and analytics).
  • “Subscription”: The paid plan(s) and add-ons you purchase for the Service.
  • “Documentation”: User guides, help articles, and other materials MapIQ provides.

2) Eligibility and Account Registration

You must be able to form a binding contract in your jurisdiction to use the Service.

You agree to provide accurate account information and keep it updated. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.

3) Subscription, Trials, and Purchases

3.1 Plans and Seats

Subscriptions may include different user types (e.g., Admin, Agent, Customer Portal). Seat counts, features, and limits are determined by the plan you purchase and may be enforced by technical limits.

3.2 Free Trials / Promotions

If a trial or promotion is offered, it may be subject to additional terms disclosed at sign-up. Unless stated otherwise, after a trial you will be charged according to the selected plan unless you cancel before the trial ends.

3.3 Billing and Payment

You agree to pay all fees, taxes, and charges associated with your Subscription. Payments are non-refundable except as required by law or as expressly stated in these Terms.

If payment is past due, we may suspend or restrict access to the Service until amounts are paid.

3.4 Changes to Fees

We may change prices for renewals or upgrades with prior notice. Changes apply at renewal or when you change plans, unless stated otherwise.

4) License and Permitted Use

Subject to these Terms and your Subscription, MapIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.

You may not (and may not allow anyone to):

  • Copy, modify, distribute, sell, lease, or sublicense the Service (except as permitted by law).
  • Reverse engineer, decompile, or attempt to discover source code, except to the extent prohibited by law.
  • Use the Service to build a competing product or to benchmark publicly without our written permission.
  • Interfere with or disrupt the Service (including attempting to bypass security or access controls).
  • Use the Service for unlawful, harmful, or abusive activity (including harassment, fraud, or infringement).
  • Upload malware, spyware, or content that violates applicable laws or third-party rights.

5) Customer Responsibilities

You are responsible for:

  • Configuring the Service appropriately for your operations (routes, customers, users, permissions, payment settings, etc.).
  • Ensuring Authorized Users comply with these Terms.
  • The accuracy, quality, and legality of Customer Data you submit.
  • Obtaining all necessary permissions and consents (e.g., notifying drivers/agents about location tracking; obtaining customer consent for notifications, messaging, and payments when required by law).

6) Customer Data, Ownership, and Access

6.1 Ownership

As between you and MapIQ, you own your Customer Data. MapIQ does not claim ownership of Customer Data.

6.2 Our Use of Customer Data

We may process Customer Data to provide, secure, maintain, and improve the Service; provide support; prevent fraud and abuse; and comply with legal obligations. We may use aggregated and de-identified data for analytics, benchmarking, and product improvement.

6.3 Data Retention and Export

If your Subscription ends, we may retain Customer Data for a limited period in accordance with our retention policies, legal obligations, and/or as required for dispute resolution. We may delete Customer Data after that period.

Where supported, we may provide data export tools. Export availability can depend on plan and technical constraints.

7) Privacy

Your use of the Service is also governed by our Privacy Policy
If you enable features involving location, communications, or payments, you are responsible for providing appropriate notices and collecting required consents.

8) Third-Party Services (Maps, Messaging, Payments, Integrations)

The Service may integrate with third-party providers (e.g., maps/geocoding, SMS/WhatsApp/email providers, payment processors, identity providers, storage services). Your use of third-party services may be subject to their terms and privacy policies.

MapIQ is not responsible for third-party systems, outages, errors, or the accuracy of third-party data (including map/geocode results).

9) Service Availability and Changes

We aim to keep the Service available, but we do not guarantee uninterrupted operation. Maintenance, updates, and outages may occur.

We may update or modify the Service from time to time (including adding, removing, or changing features). If a change materially reduces core functionality of your paid plan, we will use commercially reasonable efforts to provide notice.

10) Support

Support level (channels, response times, onboarding, training) depends on your Subscription or a separate Support/SLA agreement. Unless otherwise agreed, support is provided on a commercially reasonable basis.

11) Intellectual Property

The Service, Documentation, and all related technology, designs, and content are owned by MapIQ and its licensors, and are protected by intellectual property laws. Except for the license granted in these Terms, no rights are granted to you.

If you provide suggestions or feedback, you grant MapIQ a worldwide, perpetual, irrevocable right to use it without restriction or compensation.

12) Confidentiality

Each party may receive the other party’s non-public information (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it using reasonable care.

Confidential Information does not include information that is publicly available without breach, independently developed, or lawfully received from a third party.

13) Security

We use reasonable administrative, technical, and organizational measures to protect Customer Data. However, no system is 100% secure, and you acknowledge that risk.

You are responsible for securing your user accounts and devices and for setting appropriate permissions in the Service.

14) Acceptable Use for Location and Customer Portal Features

If you use agent location tracking, route monitoring, customer notifications, or customer portals:

  1. You must comply with applicable labor, privacy, and consumer protection laws.
  2. You must provide required notices to employees/contractors and customers.
  3. You must not use the Service to unlawfully surveil individuals or collect sensitive data without a lawful basis and required consents.

15) Term, Suspension, and Termination

15.1 Term

These Terms begin when you first use the Service and continue until terminated.

15.2 Suspension

We may suspend access to the Service if: (a) fees are overdue; (b) we believe your use poses security, legal, or operational risk; or (c) you materially breach these Terms.

15.3 Termination

You may cancel your Subscription according to your plan’s cancellation settings. We may terminate these Terms if you materially breach and do not cure within a reasonable period after notice (where cure is possible), or if required by law.

Upon termination, your license ends and you must stop using the Service.

16) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MapIQ does not guarantee that the Service will meet all your requirements, that outputs are error-free, or that analytics, routing, ETA predictions, geocoding, or recommendations will be accurate.

17) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MAPIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • MAPIQ’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MAPIQ FOR THE SERVICE IN THE [3 / 6 / 12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in that case, the limitations apply to the maximum extent permitted.

18) Indemnification

You will defend and indemnify MapIQ from claims arising out of: (a) Customer Data; (b) your or your Authorized Users’ misuse of the Service; (c) violations of law (including privacy, labor, and consumer laws); or (d) breach of these Terms.

19) Governing Law and Dispute Resolution

These Terms are governed by the laws of [State/Country], excluding conflict-of-law principles.

Any dispute will be brought exclusively in the courts located in [County, State/Country], and each party consents to jurisdiction and venue there—unless you and MapIQ agree to arbitration in writing.

20) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., within the Service or via email). Continued use of the Service after the effective date means you accept the updated Terms.
